Statute of Association of Iranian Electrical Engineering Sciences
Chapter One – Generalities and Objectives
Article 1: In order to expand and promote science and quality development of specialized forces and improve educational and research affairs in the field of electrical engineering, the Iranian Association of
Electrical Engineering, which is hereinafter referred to as the Association in this statute, is formed
Article 2: The Association is a non-profit institution and operates in scientific, research and technical fields and has a legal personality from the date of registration and the Chairman of its Board of
Directors is the legal representative of the Association
Article 3: The center of the association is in the city of Tehran and its branches can be formed in any
region of the country after the approval of the commission of scientific associations
Note: The Board of Directors may, if necessary, change the address of the main center of the Association, provided that the matter is announced in the widely circulated official newspaper and notified in writing to the Commission of Scientific Associations of the Ministry of Science Iran
Article 4: The Association shall be formed for an indefinite period from the date of ratification of this
Statute and shall be obliged to observe the laws of the Islamic Republic of Iran
Chapter Two – Tasks and Activities
Article 5: In order to achieve the goals mentioned in Article (1) of this Statute, the Association will take the following measures
Conducting scientific and cultural research at the national and international level with researchers and specialists who They are related to the science of electrical engineering
Cooperation with executive, scientific and research institutions in the field of evaluation and review and implementation of plans and programs related to education and research
Encouraging researchers and honoring distinguished researchers and professors
Providing educational, research and technical services
Holding scientific conferences at national, regional and international levels
Publication of scientific books and journals
Chapter 3 – Types and conditions of membership
First type membership
The founders of the association and the faculty members with the minimum rank of assistant professors in the field of electrical engineering and related fields, can become permanent members
Second type membership
People who have a bachelor’s or master’s degree and have been in the industry for 5 years
Student membership
All students studying in the field of electrical engineering
Honorary membership
Iranian and foreign personalities whose scientific status is of special importance in the field of electrical engineering, or who have made effective and valuable contributions in advancing the goals of the association
Institutional members (legal)
Organizations active in related scientific and research fields can become members of the association
Note 1: Individuals with a master’s degree (instructor with at least 5th degree and senior industry managers with at least 5 years of managerial experience) in one of the fields of electrical engineering can become a permanent member of the association with the approval of the board
Note 2: Institutional members are considered as affiliated members of the association
Article 7: Each member shall pay an annual fee, the amount of which shall be determined by the General Assembly, as a membership fee
Note 1: Payment of membership fee does not create any rights or claims for the assets of the association for the member
Note 2: Honorary members of the association are exempt from paying membership fees
Article 8: Membership ends in one of the following cases
Written resignation
Non-payment of annual membership fee
Note: Confirmation of termination of membership is with the board
Chapter Four – The Pillars of the Association
Article 9: The main pillars are
A: General Assembly
B: Board of Directors
C: Inspector
A: General Assembly
Article 10: The General Assembly is composed of ordinary or extraordinary members
The General Assembly is convened once a year and the Association is recognized by a written presence
or vote, and decisions are valid by a majority vote
If in the first invitation the General Assembly session is not formalized, the second session will be convened at least twenty days later and will be formalized with the number present in the session. In addition, obtaining votes can be done by correspondence based on the bylaws that are compiled by the board of directors
Note 1: The invitation to convene general assemblies is in writing or in a newspaper and must be notified to the members at least fifteen days before the convening of the assembly
Note 2: One third of the main members can directly invite to convene the General Assembly, provided that the board of directors and the inspector of the association have rejected their request
Note 3: If the above note is fulfilled, the agenda of the general meeting will be exclusively the subject mentioned in the application
Note 4: The conditions for convening the General Assembly are the same as usual and the decisions are valid with two thirds of the votes
A. Ordinary public assembly
Election of board members and inspectors (inspectors if there is more than one main inspector)
Approve the association policy
Review and approval of the proposals of the Board of Directors and the inspector (inspectors)
Determining the amount of membership fee
Dismissal of the Board of Directors and the Inspector (Inspectors)
Review and approval of the balance sheet and income statement and expenses of the previous financial year and the budget of the next year of the association
B. Extraordinary General Assembly
Approval of changes in the provisions of the Articles of Association
Approval of the dissolution of the association
Note 1: The meetings of ordinary and extraordinary general assemblies shall be formalized in the presence of the plenipotentiary representative of the Commission of Scientific Associations of Iran
Note 2: General assemblies are chaired by a board of directors consisting of a chairman, a secretary and two observers
Note 3: The members of the Board of Directors are elected by announcing and accepting their candidacy in the Assembly
Note 4: The members of the Board of Directors should not be among those who have nominated themselves in the elections of the Board of Directors and the Inspector
C – Board of Directors
Article 12: The board of directors of the association is composed of 13 main members and 2 alternate
members. Who are elected every 3 years by secret ballot from among the permanent members of the association
No member can be elected to the Board of Directors for more than two consecutive terms
Note: A maximum of 2 members subject to this rule will become members of the Board of Directors for other terms if they obtain more than 4/3 votes of those present at the General Assembly meeting
Membership in the board of directors is honorary
The board of directors shall convene a meeting no later than 2 months after its election and shall proceed with the separation of its duties by a written vote
All binding documents and securities signed by the treasurer and the chairman along with the seal of the association and official letters signed by the chairman or vice chairman are valid
The board of directors is obliged to convene a meeting once a month as needed. The interval between sending the invitation or the phone with the date of the board meeting is at least three days
Meetings of the Board of Directors are formalized in the presence of a majority of members and decisions taken by a majority of votes in favor are valid
All the approvals of the board of directors are recorded and after the signatures of the members are kept in the minutes book of the board of directors
In case of resignation, dismissal or death of any member of the Board of Directors, a substitute member will be appointed to replace him for the remaining period of the membership period
The participation of the inspector (s) in the meetings of the board of directors is allowed without having the right to vote
The participation of the members of the board of directors in the meetings is necessary and the absence of up to three consecutive meetings and five meetings will mean the resignation of the absent member
Article 13: The Board of Directors is the legal representative of the Association and the duties of its powers are as follows
Managing the current affairs of the association according to the articles of association and approvals of the general assembly
Forming scientific groups of the association, determining their duties and supervising their activities
The Board of Directors can take any action and transaction that it deems necessary regarding the transfer of immovable property and its conversion into mortgages or mortgages and borrowings, with the exception of the definitive transfer of immovable property, which requires the approval of the General Assembly
Except for the issues that according to the provisions of the articles of association, decision making and action on them are in the special competence of the general assemblies, the board of directors has all the necessary powers to manage the affairs, subject to observing the limits of the subject of activity
Preparing the annual report and preparing the financial balance sheet and invoice of the income and expenses of the association for approval in the general assembly and submitting it to the supervisory authority in due time
Filing lawsuits and responding to the lawsuits of natural or legal persons in all authorities and stages of the proceedings with the right to appoint a lawyer and the right to delegate to others
Selecting and introducing the representatives of the association to participate in domestic and foreign scientific forums
Implementation of scientific plans and programs within the framework of the duties of the association
Attracting gifts and financial aid
Donation of research and educational scholarships
Deciding on the membership of the association in domestic and foreign scientific societies in compliance with the current laws and regulations of the country
Sending the necessary reports to the Commission of Scientific Associations of the Ministry of Science, Research and Technology
The Board of Directors is obliged to convene the General Assembly and elect a new Board of Directors within 4 months before the end of its term of office and immediately send the results along with the minutes of the General Assembly to the Commission of
Note: The previous board of directors will be responsible for the affairs of the association until the approval of the new board of directors by the Commission of Scientific Associations of the Ministry of Science, Research and Technology
C – Inspector (s)
Article 14: The Ordinary General Assembly elects one person as the main inspector and one person as a substitute for a period of 3 years
Note: Re-election of the inspector or inspectors is unrestricted
Article 15: The duties of the inspector or inspectors are as follows
Examining the documents and financial books of the association and preparing a report for the general assembly
Reviewing the annual report of the board of directors and preparing a report on the performance of the association for informing the general assembly
Reporting any violation of the provisions of the Articles of Association by the Board of Directors to the General Assembly
Note: All documents of the association, both financial and non-financial, must be submitted by the board at any time and without conditions
The director should be made available to the inspector (s) for review
Chapter 5 – Scientific groups of the association
Article 16: The Association can form the following groups and committees that operate based on the description of duties assigned to them by the Board of Directors
Specialized groups
Education and Research Committee
Publishing Committee
Statistics and Information Committee
Admissions and Public Relations Committee
Committee of Scientific Meetings
The association is also allowed to form other groups and committees
Chapter Six – Budget and Miscellaneous Materials
Article 17: The financial resources of the association are
Membership fee
Revenues from providing educational and research services and consulting and selling scientific books and journals
Receiving gifts and help
All revenues and incomes of the association will be spent for the purposes and subject of Article 5 of this statute
Article 18: The incomes and expenses of the association are registered in the legal offices and its description is sent to the Commission of Scientific Associations of the Ministry of Science, Research and Technology every year after its approval in the General Assembly
Article 19: All the funds of the association are kept in a special account called the association with the banks of the country
Article 20: None of the founders or owners of capital has the right to withdraw or allocate any interest, whether dividends or capital, and they and their first-degree affiliates can not engage in transactions with the institution
Article 21: All documents and financial and non-financial files related to the activities of the Association will be kept at the headquarters of the Association and will be provided to the supervisory authority or other competent authorities upon their visit
Article 22: Any change in the provisions of the Articles of Association is valid after the approval of the Commission of Scientific Associations of the Ministry of Science, Research and Technology
Article 23: The Association has the citizenship of the Islamic Republic of Iran and its members in thename of the Association do not have the right to political activity or affiliation with political groups and parties
Article 24: In case the dissolution of the association is approved in the general assembly, the same assembly will elect a settlement board to pay the debts and collect the claims of the association. After receiving the claims and paying the debts, the settlement board is obliged to transfer all the movable and immovable assets of the association to one of the educational or research institutions of the country under the supervision of the Ministry of Science, Research and Technology
Article 25: This statute, consisting of 6 chapters, 25 articles and 16 notes, was approved by the general assembly of the association
